BStrat (Sekhar Palanisamy): Comprehensive Terms of Service, Confidentiality, and Privacy Policy
Preamble and Acceptance of Terms
This document outlines the Terms of Service (ToS), Confidentiality Commitment, and Privacy Policy (collectively, the “Agreement”) governing the relationship between Bstrat, operated by Sekhar Palanisamy, and its officers, directors, employees, and affiliated coaches (collectively, the “Service Provider”), and the client (the “Client” or “User”).
By engaging in any coaching services, accessing resources, or utilizing the Service Provider’s website (bstrat.io), the Client expressly agrees to be bound by these terms in their entirety.
I. Terms of Engagement and Limitation of Liability
1. Scope of Coaching Services and Disclaimer
The Coach (Sekhar Palanisamy) provides professional strategic business and personal coaching services aimed at skill development, goal setting, and improved performance.
- No Guarantee of Results: The Client acknowledges that the Coach makes no guarantees, representations, or warranties regarding specific business, financial, or personal outcomes, results, or profits achieved by the Client. Success is dependent on the Client’s motivation, commitment, follow-through, and external market factors, which are outside the Service Provider’s control.
- Not Professional Advice: The Client understands and agrees that coaching is not a substitute for professional services, including but not limited to, psychological therapy, legal counsel, financial advisement, tax consultation, or medical care. The Client is solely responsible for seeking advice from qualified professionals for these matters.
2. Fees, Payment, and Cancellation Policy
- Payment: All fees, payment schedules, and accepted methods will be detailed in a separate written Service Agreement or invoice provided prior to the commencement of services. Services will not begin until payment is confirmed.
- Refund Policy: Unless explicitly stated otherwise in the separate Service Agreement, all fees paid are non-refundable. No refunds will be issued for services already rendered, for dissatisfaction with results, or for early termination of a program by the Client.
- Client Rescheduling/Cancellation: The Client must provide a minimum of 48 hours’ notice to reschedule or cancel any booked session. Sessions cancelled or missed with less than 48 hours’ notice will be forfeited and are not eligible for rescheduling or refund.
- Coach Rescheduling: If the Coach must cancel a session, the Client will be notified immediately, and the session will be rescheduled at no extra cost.
3. Intellectual Property Rights
- Ownership: All materials, workbooks, methodologies, systems, presentations, recorded content, and derivative works provided during the coaching program are the exclusive Intellectual Property of Bstrat.
- License: The Client is granted a limited, non-exclusive, non-transferable license to use these materials solely for their personal, internal business use.
- Restrictions: The Client shall not copy, share, sell, reproduce, distribute, or create derivative works from the Service Provider’s materials for commercial purposes or with any third party without express written permission.
4. Limitation of Liability and Indemnification
- Maximum Liability: The Client agrees that the Service Provider’s maximum aggregate liability for any claims, damages, or losses arising out of or related to this Agreement, including negligence, shall be strictly limited to the total amount of coaching fees actually paid by the Client to Bstrat for the specific services giving rise to the claim.
- Exclusion of Damages: In no event shall the Service Provider be liable for any indirect, incidental, punitive, special, or consequential damages (including, without limitation, damages for loss of profits, data, or business interruption) arising out of the use or inability to use the services.
- Indemnification: The Client agrees to indemnify, defend, and hold harmless Bstrat and its officers, directors, employees, and affiliated coaches from and against any and all claims, damages, losses, and expenses (including attorney’s fees) arising out of the Client’s breach of this Agreement or their use of the coaching services.
II. Confidentiality Commitment
5. Strict Confidentiality
The Coach and Service Provider are committed to creating a safe and trusting space. All information shared by the Client during sessions, including but not limited to: business challenges, financial data, personal mindsets, internal team matters, and written/verbal communications, is considered strictly confidential.
- Your information will never be shared or discussed with third parties without your express written consent.
6. Limits to Confidentiality
Confidentiality may be legally broken only in the following narrow circumstances:
- If required by a court order, legal subpoena, or governing law.
- If there is an imminent risk of harm to the Client or a third party.
- If there is evidence of illegal acts, including but not limited to, abuse, fraud, or criminal activity.
III. Privacy and Data Collection
7. Information Collection and Use
Bstrat collects and uses your personal data responsibly in accordance with industry standards.
- Data Collected: Contact details (name, email, phone), booking details, and securely stored session notes.
- Data Use: To provide coaching services, process payments, and, if opted in, to communicate session updates or insights.
8. Data Security and Third Parties
- Security: All personal and session-related information is stored securely (password-protected and/or encrypted) and accessed only by the Service Provider or authorized support.
- Third-Party Services: We use secure tools for operational efficiency (e.g., Calendly for scheduling, Stripe/PayPal for payments, Google Analytics). These tools receive the minimal data required to perform their specific function and are required to comply with privacy regulations.
9. Your Data Rights
The Client has the right to: access their data, request corrections or deletions, withdraw consent for marketing communications, and request clarification on data usage.
IV. General Provisions
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Sheridan, Wyoming, USA, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively through binding arbitration in Sheridan, Wyoming, or through a mutually agreed-upon mediation process.
11. Policy Updates
This Agreement may be updated periodically to reflect changes in law or business practices. The Client agrees that continued use of the services after any update constitutes acceptance of the new terms. The most current version will always be available on bstrat.io.
